ARVA Media Terms & Conditions

Above all we want to offer our clients a fair deal, by providing an easy to use video service / workflow at affordable rates. We strive to make the best out of the content our clients send us and therefore differentiate ourselves through the quality of the result of our work. Should disputes or misunderstandings arise we will always try to find a reasonable and fair solution based on our Terms & Conditions outlined below.

By employing the services of ARVA Media, supplying work related to our service or reaching out for specific projects, you are agreeing to these Terms. These are legal and binding.

Our main services are located within the post production field, this means we focus on Digital Video Editing Services as a major activity. ARVA Media wants to help business owners by providing solutions such as Online Video Consulting and Online Video Editing Services. We can also create a quotation including a cameraman on location, know that this addition will have impact on the final pricing of your preferred product. (Travel Expenses, Freelancer Pricing, Material Rent, Delivery Costs) We suggest to hire a local cameraman and send the footage so we can add our magical touch. We are suggesting this because next to amazing results, we also want to offer the best suitable pricing for your business, because you matter!

1. Directing

ARVA Media is not identified in the field of Directing, this means we will and cannot be responsible for any directing / set dressing at the time of our physical production (yet). Gathering props and actors will be assigned to the Client at any time. We offer production assistance when shooting your idea, in order to go for the best possible results.

2. Project idea

Hereby we declare that the consensus made in our invoice is based on how you have the project in mind. Our pricing is based on time, production value and gear. Changing your idea has a crucial impact on the elements mentioned above and will affect the pricing by adding additional fees based on the new idea you come up with.

3. Promotional use of content

The parties agree that ARVA Media may use all the content for commercial use, including, without limitation, promotional videos for exhibition to other potential clients of ARVA Media, this includes Offline & Online Publicity of the content.

4. Modifications

ARVA Media offers one free revision to the content we are producing. This means we are open to feedback for 1 time. Make sure to always give complete feedback. Since we’ll be literally changing the things you want. In order to ease up this process we are using Frame.io. We cannot change anything about the first idea we came up with in the invoice. The free revision we offer includes changes to the initial idea, as soon as we decided to send out the invoice we can’t add any changes anymore.

5. Licensing

The client allows eventual fees paid to third parties when using audio- or physical video gear. We rent the gear and apply to the rules of fair use when having eventual third party music being featured in certain projects. 

6. Non-refundable reservation fees

A reservation deposit of 30% of the invoice price is due upon the signing of our Agreement.  Once the Agreement is signed and the deposit is paid, ARVA Media shall reserve the time and date agreed upon for the Event and will not make other reservations that will conflict with the Event.  For this reason all reservation fees are NON-REFUNDABLE. 

7. Payment schedule

The payment schedule will be as follows: 

Start (30%) -> This fee has to be paid in order to launch the project.
Mid (35%) -> This fee will be paid after receiving the first preview.
Finish (35%)  -> This fee will be paid to remove watermarks of the final product.

 

8. Completion of final product

The entire editing process, from time of scheduling to receipt of the final product is normally 2 to 4 weeks, at which time Client will receive the final product of the Event. Delivery times can be different based on the kind of project and will be discussed in our additional communication.

 

9. Creative clause

It is understood that ARVA Media is the exclusive official videographer retained by the Client to cover this event. ARVA Media is granted full editorial, production and content control by the Client regarding all aspects of the production and post-production services. In the case a particular segment of the event is either not recorded, partially recorded, or not a part of the edited master tape, it is at the sole discretion of ARVA Media as the exclusive Producer of the event’s video recording. If something occurred at the event that Client does not want to appear on the final edited videotape, the Client must instruct ARVA Media with-in two weeks after the event’s recording. Any requests for changes to the final edited master videotape, that are not the result of errors by ARVA Media will be made at the current rate per hour for editing and labor. ARVA Media cannot guarantee video or audio quality due to restrictions imposed at and/or by the event location. Because the videographers cannot interrupt or interfere with the ceremony in any way to correct less than satisfactory shooting conditions, the Client shall insure the placement of the bridal party, officiant(s) and altar decorations does not obscure or block the view of the bride and groom. We are not responsible for shots that are missed or omitted because of videographer being blocked. ARVA Media retains the exclusive right to edit all videotape. 

 

10. Illness and unexpected events

ARVA Media will not be liable to Client under any circumstances if its performance is prevented or impaired due to war, insurrection, strikes, walk-outs, riots, fire, acts of God, including adverse weather conditions and earthquakes, shortages or unavailability of labor or materials, laws or governmental restrictions which conflict with the terms of this Agreement, or any other matter beyond the reasonable control of ARVA Media.  In the event of any unanticipated videographer illness ARVA Media shall make reasonable efforts to substitute another competent professional. If another videographer cannot be assigned in time for the Event, ARVA Media shall promptly return to Client all fees previously paid by Client, and shall then have no further liability with respect to this Agreement. ARVA Media reserves the right to decline outdoor videotaping in the event of inclement weather.  Client is responsible for providing an alternate nearby location in the event of inclement weather. 

 

11. File Storage

Apparently we are not able to store your files & data for the long run. This for GDPR – and Technical Reasons. We offer branded USB sticks up to 32GB for the storage of your files, if this could possibly help you, we can actually include it within the quote.

 

12. Liquidated damages

Client and ARVA Media recognize it is extremely difficult and impractical to ascertain the extent of Client’s actual damage in the event of a breach on the part of ARVA Media.  Therefore, the parties agree that in the event of any breach arising from the negligence or other unintentional conduct of ARVA Media, including, without limitation, any damage to or loss of any videotape footage or photographs, Client shall be entitled to the following: IN THE EVENT OF DAMAGE TO OR LOSS OF ANY VIDEOTAPE FOOTAGE: A percentage reduction in the price of the video package, based upon the amount of actual tape-time which has been damaged, lost or not captured.  Client would then receive the final product, containing the footage from the Event, which was captured, not lost or damaged.  IN THE EVENT OF DAMAGE TO OR LOSS OF ANY PHOTOGRAPHS: Payment in the sum of $1.00 per/lost damaged photograph.  The return of such fees and payment of such damages shall be the sole and exclusive remedies available to Client.
